SUBSCRIPTION AGREEMENT I am over 18 years of age and legally capable of entering into this Subscription Agreement (hereinafter referred to as “Agreement”). If I am entering into this Agreement for a business, nonprofit organization, or other legal entity, I am legally authorized to enter into this Agreement for such business or other legal entity, and any statements herein referring to “I” or “me” shall mean such business or other legal entity. < — more scroll down — > I acknowledge that AMERICA’S COMMUNITY BANKERS (“ACB”) is providing the JobPost (hereinafter referred to as the “Service”) as a benefit and service in furtherance of ACB’s not-for-profit, and tax-exempt status. Also, I acknowledge that ACB is providing this Service at no cost to the subscribers for the purpose of listing employment opportunities. Further, I agree that ACB may provide to third parties the information that I have provided as part of the subscription process. I agree and acknowledge that ACB makes no representation about the suitability of the Service for any purpose. I acknowledge that myself as well as all users of the Service and everyone else in any way using, distributing, or manipulating any of the information or other materials contained on said Service rely upon such information or materials at my and our sole risk. I agree that I shall fully comply with all applicable federal and state antitrust laws, including all prohibitions regarding price-fixing, boycotts and market allocations. I acknowledge that in view of the severe penalties that accompany violating such laws, ACB firmly requires that even the appearance of an antitrust law(s) violation be avoided by users of the Service. I hereby acknowledge and agree that ACB does NOT represent, endorse, or guarantee, individually or collectively, the results that may be obtained from, or the accuracy or reliability of any of the information, content, or other materials contained on, distributed through, linked, downloaded or accessed from the Service, nor the quality of any products, information, or other materials displayed, purchased, or obtained by any user of the Service, or anyone else as a result of the use, participation in or knowledge acquired from said Service or any other information, offer or material in any way connected or related with or to said Service. I agree and acknowledge that the posting on the Service of any abusive, profane, threatening, offensive, anticompetitive, or illegal materials is NOT authorized. Because the penalties that may be invoked regarding the posting of defamatory material are extensive and costly, I acknowledge that such materials are completely prohibited. I agree and acknowledge that ACB shall NOT be responsible for any such materials or resulting liability. I hereby agree, represent and warranty that I shall NOT post information, software or other material protected by copyright(s) without the permission of the copyright(s) owner(s). I hereby warranty and guarantee that all information and material that I post on this Service shall not violate or infringe on any third party rights of any kind, including but not limited to, copyright and trademark rights. By uploading any information, software or other material, I agree and acknowledge that the uploading party warrants and guarantees that it owns the copyright(s) in such materials or has received proper permission from the owner(s) of the copyright(s) to upload such materials. Also, I agree and acknowledge that by uploading information, software or other materials onto the Service, the uploading party automatically grants ACB and the users of the Service the non-exclusive right and license to display, copy, publish, distribute, transmit, print and use such information and materials. I agree and acknowledge that even though ACB does actively monitor the Service for inappropriate postings, it does NOT on its own undertake editorial control of any postings, and that ACB reserves the right to terminate access to any user of the Service who does not abide by the guidelines set out herein. I AGREE AND ACKNOWLEDGE THAT THE SERVICE, AND THE INFORMATION AND MATERIALS CONTAINED THEREIN ARE PROVIDED BY ACB ON AN “AS IS” BASIS, AND ACB EXPRESSLY DISCLAIMS ANY AND ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, WITH RESPECT TO ANY INFORMATION OR MATERIALS AND PRODUCTS IN ANY WAY RELATED TO THE SERVICE. I ALSO AGREE AND ACKNOWLEDGE THAT IN NO EVENT SHALL ACB BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, PUNITIVE OR CONSEQUENTIAL DAMAGES OF ANY KIND WHATSOEVER WITH RESPECT TO THE SERVICE, THE MATERIALS, INFORMATION, AND PRODUCTS PROVIDED BY OR THROUGH THE SERVICE. FURTHER, I AGREE AND ACKNOWLEDGE THAT ACB DOES NOT CONDONE OR SUPPORT ANY ANTI-COMPETITIVE OR OTHER ILLEGAL BEHAVIOR OR ACTIVITY, AND WILL NOT BE LIABLE FOR ANY SUCH BEHAVIOR OR ACTIVITY, AND RESULTING LIABILITY, INCLUDING ANY DEFAMATION OR ANTITRUST LIABILITY. I agree and acknowledge that “America’s Community Bankers” and “ACB” are registered trademarks in the United States, and that no one may use the above trademarks without the prior written agreement of America’s Community Bankers (“ACB”). Also, I agree and acknowledge that all information and material in any way related to the Service in which ACB has proprietary rights shall be the sole and exclusive property of ACB. *** END ***
