Pooled Trust Preferred Securities Program

An Affordable Solution to Raising Capital for Community Banks

Raise Capital Without Diluting Your Existing Shareholder Interest
Community banks can now raise capital for growth and other strategic purposes at an affordable price. ACB Business Partners has aligned with Citigroup to offer an exclusive Pooled Trust Preferred Partnership (TRUPS) with considerable member advantages through its licensed broker/dealer, ACB Business Services, LLC.

Citigroup Global Capital Markets Inc. is the market leader in capital securities structures. Having pioneered the very first pooled trust preferred securities deal for smaller banks and holding companies in 2000 they have since helped to raise over $3.7 billion of regulatory capital for community banks.

The ACB/Citigroup program provides cost-effective and streamlined access to the pooled trust preferred securities market for smaller community financial institutions. Together, participating bank holding companies are able to achieve the economies of scale necessary to raise capital in a manner that likely would not have been economically feasible on their own. Further benefits of the program include significant pricing advantages, reimbursement of out-of-pocket administrative fees and a warehouse credit line that will provide immediate funding.

This program gives community banks an inexpensive way to enhance their financial strength by increasing their capital base in a cost-effective manner without increasing their amount of common shares outstanding. Interest paid on the securities is tax deductible.

Citigroup TRUPS Program Eligibility Criteria
Holding companies of at least $100 million in assets that have the need to raise capital are potential candidates for issuing pooled TruPS through the ACB/ Citigroup Program. Other criteria include:
  • Minimum pro-forma risk-based capital ratio of approximately 10%
  • Minimum operating history of 5 years
Note: Potential issuers that do not meet one of the above requirements will be considered on a case by case basis.
